The client is responsible for providing timely information, materials, data, and approvals necessary for Aura Spire to complete the services. Delays caused by the client may result in extended timelines or additional costs.

3. Payment, Fees, and Refund Policy

3.1. Fees and Billing

All fees are set forth in the SOW or agreement. Payment is typically required upfront for smaller projects or invoiced on a milestone basis for larger projects. Failure to pay may result in suspension or termination of services.

3.2. Refunds

Due to the nature of digital, custom, and consultation services (SEO, custom code, virtual assistance), all sales are generally considered final. Refunds are only considered if Aura Spire fails to deliver the specified services according to the SOW or if explicitly detailed otherwise in the signed agreement.

4. Intellectual Property (IP)

4.1. Client IP

You grant Aura Spire a non-exclusive, royalty-free, worldwide license to use your existing content, logos, and materials solely for the purpose of providing the contracted services to you.

4.2. Developed IP

Upon final payment for custom development services (e.g., Custom Code), the client shall own the intellectual property rights to the custom code specifically created for the client, excluding any underlying third-party licenses, frameworks, or open-source components used.

5. Limitation of Liability

In no event shall Aura Spire, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory.
